1. Acceptance of Terms

By accessing or using the Selene P2C platform and services (the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you may not access the Services.

2. Service Description

Selene P2C provides a payroll-integrated Bitcoin savings platform that enables employees to allocate a portion of their paycheck toward Bitcoin purchases. Our Services include:

  • Integration with employer payroll systems
  • Automated Bitcoin purchases through our partner Coinbase
  • Educational resources about Bitcoin and cryptocurrency
  • Optional employer matching programs

The Services are designed to facilitate Bitcoin purchases and are not investment advice. Bitcoin is a volatile asset and may lose value. We recommend consulting with qualified financial advisors before making investment decisions.

3. Eligibility

To use the Services, you must:

  • Be at least 18 years of age
  • Be employed by a company that has enrolled in Selene P2C
  • Be a U.S. resident in a state where our Services are available
  • Complete identity verification as required by Coinbase

4. User Obligations

By using the Services, you agree to:

  • Provide accurate and current information during registration.
  • Maintain the confidentiality of your account credentials.
  • Use the Services lawfully and in accordance with applicable regulations.
  • Understand that Bitcoin purchases are non-refundable once executed.
  • Accept responsibility for your investment decisions.
  • Comply with all applicable tax reporting requirements.

5. Bitcoin Purchases and Custody

Purchases: Bitcoin purchases are executed by Coinbase on your behalf at prevailing market rates. Purchase timing and prices are subject to market conditions.

Custody: Your Bitcoin is held in your personal Coinbase account. You own your Bitcoin outright and may withdraw, transfer, or sell it at any time through Coinbase, subject to Coinbase's terms and any applicable fees.

Fees: Selene P2C may charge service fees for facilitating transactions. Fee schedules will be disclosed before you confirm any transaction.

6. Employer Matching

If your employer offers a Bitcoin matching program:

  • Matching contributions are subject to the terms set by your employer
  • Matching contributions may have vesting requirements
  • Employer matching programs may be modified or discontinued at any time

7. Risks

By using our Services, you acknowledge and accept the following risks:

  • Market Risk: Bitcoin is highly volatile and may lose significant value.
  • Regulatory Risk: Cryptocurrency regulations may change, affecting the Services.
  • Technology Risk: Platform outages or technical issues may delay transactions.
  • Custody Risk: While Coinbase maintains robust security, no system is completely secure.

You should only invest amounts you can afford to lose.

8. Intellectual Property Rights

All platform content, including software, user interface designs, educational materials, and other materials, are the exclusive property of JPK Group LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from our platform without express written permission.

9. Termination

You may discontinue using the Services at any time by notifying your employer's HR department. Upon termination:

  • Future payroll deductions will cease
  • Your existing Bitcoin remains in your Coinbase account
  • You retain full ownership and control of your Bitcoin

We reserve the right to suspend or terminate your access to the Services if you breach these Terms or engage in conduct that we believe is harmful to the platform, other users, or our business.

10. Limitation of Liability

To the fullest extent permitted by law:

  • JPK Group LLC disclaims all liability for indirect, incidental, special, consequential, or punitive damages.
  • We are not liable for any investment losses, including losses resulting from Bitcoin price volatility.
  • We are not liable for actions taken by Coinbase or your employer's payroll provider.
  • Our total liability shall not exceed the fees paid by you in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless JPK Group LLC, its officers, directors, employees, and agents from any claims, damages, liabilities, or costs (including reasonable attorney fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any applicable laws or regulations
  • Any disputes with your employer regarding payroll deductions

12. Dispute Resolution

Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Rochester, New York.

Class Action Waiver: You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Updated versions will be posted on our website with a new effective date. Your continued use of the Services after changes are posted constitutes your acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
